Deal a rischio?

NIKI CEO steps down; IAG deal may be in jeopardy

Austria-based airberlin subsidiary NIKI CEO Oliver Lackmann confirmed he will step down by the end of February as the deal with International Airlines Group (IAG) hits a snag.
“It is logical that with a new ownership (of NIKI) it will also lead to a new management,” Lackmann told ATW. Lackmann, a former Airbus A320/330 captain with airberlin, became CEO in April 2016.
Airberlin filed for bankruptcy August 2017 and ceased operations in October 2017.
NIKI—which filed for insolvency Dec. 13, 2017 and abruptly ceased operations—is still waiting for approval to be taken over by International Airlines Group (IAG) after sealing a deal at the end of December to acquire the Austrian carrier for €20 million ($24 million).
However, a Berlin regional court (Landgericht) ruled earlier this week that bankruptcy proceedings should be conducted in the Austrian regional court in Korneuburg (near Vienna), rather than in Germany, which may put the IAG takeover deal in jeopardy.
Some reasons for that decision are that even though the majority of NIKI’s revenues were generated in Germany, the carrier conducted analysis, financial accounting and other administrative tasks at its main headquarters in Vienna.
Meanwhile, as expected, NIKI also filed for bankruptcy in Austria on Jan. 11, 2018, which could wind up being in parallel with the insolvency house pending in Germany.
The application for bankruptcy proceedings is Austria is said to have been filed by the German insolvency administrator Lucas Flöther. The application was for a so-called secondary procedure, which Korneuburg judges are verifying.
“We assume [we will be able to work] together with the courts in Austria and Germany [for a solution so] the deal with IAG can be completed,” a source close to the process told ATW.
Austrian aviation authorityAustrocontrol has also extended NIKI’s Austrian air operator’s certificate (AOC) by three months until March so the carrier will not lose its slots.
IAG has said it will continue to work with all parties to ensure the transaction goes through as planned. The group intends to eventually relaunch NIKI as an Austrian-based unit of its LCC subsidiary Vueling. ATW

Ryanair ritorna alla carica per acquistare NIKI

Ryanair renews interest in NIKI takeover

Ryanair has confirmed the Irish LCC has contacted the Austrian administrators of bankrupt airberlin subsidiary NIKI, expressing interest in participating in the insolvency process and potential purchase of remaining NIKI assets, head of communications Robin Kiely told ATW.
Ryanair was one of the earlier bidders for NIKI, which filed for bankruptcy Dec. 13, 2017, immediately ceasing operations. However, the LCC later stepped back from the bidding process.
Airberlin declared insolvency in August and ceased operations at the end of October.
Ryanair renewed interest in NIKI following the Jan. 12 ruling by a Korneuburg Austrian court that the NIKI insolvency proceedings and asset sale should restart from scratch, casting further doubt on the International Airlines Group (IAG) acquisition of NIKI, which was based on insolvency proceedings taking place in Germany.
A Berlin regional court ruled last week that bankruptcy proceedings should be conducted in Austria rather than in Germany.
The Austrian court ruled this meant the IAG deal should be voided and proceedings should begin anew, which could open the door for German leisure carriers TUIfly, Thomas Cook (Condor) and NIKI founder, Niki Lauda to offer new bids for NIKI assets. Lauda founded NIKI in 2003.
On Dec. 29, 2017, IAG announced plans for a subsidiary of its Spanish LCC Vueling to buy NIKI assets for €20 million ($24.5 million) and provide liquidity of up to €16.5 million.
According to a Jan. 16 IAG statement, following the opening of NIKI insolvency procedures in Austria, IAG and Vueling have been in discussions with Austrian and German administrators and continue to follow developments closely. They believe all parties want the process to be resolved quickly.
IAG said it remains interested in NIKI assets and looks forward to completing the new process promptly. The group remains hopeful that Vueling can continue with its acquisition and safeguard up to 740 former NIKI jobs in Austria and Germany.
“The interest of IAG in NIKI is mainly about the carrier’s slots at Palma de Mallorca (Spain), because growth at Palma can only be done by taking over slots from another airline. And Vueling is in tough competition against Ryanair in Palma,” a former NIKI manager told ATW.
According to the Austrian TV channel ORF, Vueling plans to base up to eight Airbus A320 family aircraft in Vienna. (ATWOnline)

Lauda beats IAG in battle to buy NIKI
Reuters reports that the administrators of the insolvent airline NIKI have chosen to sell it to the former Formula 1 champion Niki Lauda. The sale was initially agreed with IAG, but bids were reopened when the proceedings were moved to Austria from Germany last week. IAG has told reporters it is 'disappointed that NIKI will not be able to develop and grow stronger as part of the group'.

Virgin to use ex-Air Berlin fleet at Manchester

Virgin Atlantic passengers flying Upper Class on its new Manchester-based fleet will find themselves in an unfamiliar style cabin when the airline introduces ex-Air Berlin aircraft.

Virgin has secured four Airbus A330-200s for use on routes to New York, Boston, San Francisco and Barbados and is retaining the defunct German carrier’s business class. The layout is different from Virgin’s herringbone style, but three pairs of the 19 seats - branded as the Love Suite - allow couples to sit together. Aisle seats are referred to as Solo Freedom Suites and window seats as Solo Corner Suites.

The first of the aircraft, a 17-year-old Airbus A330-200, is due to enter service in March and has been named Daydream Believer. It will initially not offer a premium economy cabin, as Air Berlin did not have one, but Virgin said a 40-seat separate cabin would be fitted “towards the end of 2018”.

A spokersperson said the A330s would be in service for "between three and four years".

Virgin has had to source new aircraft after problems with the engines on its Boeing 787 fleet. Phil Maher, Virgin’s executive vice president operations, said: “The Upper Class cabin introduces three new styles of seating for customers to choose from, as well as extra touches such as a barista style coffee menu and free Wi-Fi messaging.

“The Economy cabin offers 222 seats, and we’re investing in a premium economy cabin for each aircraft, to be fitted towards the end of the year.”

Air Berlin creditors plan to sue Etihad for damages: source

MUNICH (Reuters) - Creditors of insolvent Air Berlin (AB1.DE) have decided to sue former parent Etihad Airways for damages over its decision to withdraw funding in August, which sent Germany’s second-largest airline into administration, a person close to the matter said.
The creditors have asked the administrator to find a firm to finance the planned litigation, the person also said. Air Berlin and the administrator declined to comment. Abu Dhabi-based Etihad was not immediately available for comment.
The administrator had said he was assessing possible claims against Etihad that could potentially reach more than 1 billion euros, arguing that Etihad did not meet its financial obligations toward Air Berlin, once Germany’s No.2 carrier.
Etihad owned a 29 percent stake in Air Berlin and had been providing funding since becoming a shareholder in early 2012. In April 2017, Etihad sent a letter of support to Air Berlin, saying it would provide funding for the next 18 months.
But in August, Etihad said it would no longer provide funding, saying Air Berlin’s business had deteriorated at an unprecedented pace.
The German government stepped in with a 150 million euro ($185.96 million) bridge loan to keep Air Berlin’s planes flying and prevent thousands of travelers from being stranded while it sought a buyer. That loan takes precedence over other creditors.
Air Berlin’s assets have since been divided up between Lufthansa (LHAG.DE), easyJet (EZJ.L) and former motor racing champion Niki Lauda.
However, the government loan seems unlikely to be repaid in full, leaving other creditors out of pocket too.

Air Berlin creditors decide to sue Etihad Airways for damages

The creditors of Air Berlin decided to go ahead with a lawsuit against Etihad Airways, which used to be the biggest shareholder of the now insolvent airline, insider source told Reuters. Air Berlin’s administrator Lucas Flöther said he is engaged in assessing the claims that could potentially excess €1 billion in damages.
According to Flöther, the Gulf carrier, which held a 29% stake and was the biggest shareholder of Air Berlin, failed to honor their commitment. Etihad was funding the airline since becoming its shareholder and in April, 2017, it sent a letter of support to Air Berlin, claiming it would continue the funding for upcoming 18 months.
However six months later, in August, 2017, the United Arab Emirates flag carrier cut off the German airline, which had to file for bankruptcy as a result. Etihad reasoned that the German airline’s business “deteriorated at an unprecedented pace”.
Reuters report that creditors of Air Berlin asked the administrator to find a firm to finance the planned litigation. NTV reports that the litigation process must be financed externally, since Flöther does not have the necessary five million euros for the proceedings. The insider source claims that the administrator is now trying to find a financier through a tender on behalf of the creditor’s committee.
“The claims against Etihad are potentially the most important asset in the process,” Air Berlin’s administrator told Süddeutsche Zeitung. However, whether the court will find Etihad’s letter to be legally binding - remains uncertain.
Air Berlin suffered financial losses almost every year since 2008. In 2016, the airline reported a record €782 million loss, which increased another €293.3 million at the beginning of 2017. Despite massive losses the carrier continued selling tickets. Six weeks before going into administration, the airline’s bookings stood at €856 million.
After Air Berlin filed for insolvency in August 2017, German government stepped in providing the carrier €150 million to keep planes in the air for another three months. This was to prevent thousands of passengers getting stranded as a result and to secure jobs for 7,200 workers in Germany.
Air Berlin’s assets were divided between Lufthansa, EasyJet and Niki Lauda’s Laudamotion.

Pubblico così come mi è arrivata:

Dear Dr XXX,

On April 1, 2018, the responsible insolvency court of Charlottenburg initiated insolvency proceedings against the assets of topbonus Ltd. and appointed me insolvency administrator.

Right from the start it has been the common goal of the management and the insolvency administration to secure a long-term future for topbonus with the help of a strategic partner. We are close to this goal and, in the next few days, hope to inform you of a new investor who has committed to rebuilding and enhancing the program.

However, with the opening of insolvency proceedings on April 1, 2018, the XX award miles that you had in your topbonus account on that date now become insolvency claims for insolvency reasons, and your mileage balance has been set to zero. From 6 April, 2018, you can make an insolvency claim of the value of these miles at https://topbonus.insolvenz-solution.de. In order to secure the planned payments from the insolvency estate, these claims must be filed by April 24, 2018. Further information for topbonus creditors can be found here.

The process of transferring miles to the insolvency administrator does mean that members will be unable to login to their accounts this week. However, all accounts will be back online on April 9, 2018.
I will keep you up-to-date with information relating to the new investor. Meanwhile, please bear with us whilst we continue this process.

Kind regards

Christian Otto
